Terms and Conditions

These terms describe the general basis on which SuiteStockIQ provides inventory aging implementation, reporting, and training services.

1. About These Terms

These Terms and Conditions govern the provision of SuiteStockIQ inventory aging implementation, reporting, and training services.

SuiteStockIQ is a service provided by ERP Logic Limited, a company registered in New Zealand.

In these terms, “we”, “us”, and “our” refer to ERP Logic Limited. “You” and “your” refer to the customer purchasing or receiving our services.

By accepting a proposal, statement of work, or other written agreement with us, you agree to these Terms and Conditions, together with any additional terms expressly agreed in writing.

If a signed agreement or statement of work conflicts with these terms, the signed agreement or statement of work will take precedence to the extent of the conflict.

2. Our Services

SuiteStockIQ provides services relating to historical inventory aging reporting for Oracle NetSuite environments.

Depending on the agreed scope, services may include:

  • Configuration of NetSuite Saved Searches and data extraction processes.

  • An Excel-based historical inventory aging calculation model.

  • Preparation of an initial inventory aging report.

  • Review and validation of report results within the agreed scope.

  • Implementation documentation and training.

  • Agreed follow-up support.

The precise deliverables, implementation approach, reporting date, inventory types, reporting dimensions, and other requirements will be confirmed before work begins.

Our services may be delivered through authorised access to your NetSuite environment or through data exports prepared by your team.

3. Pricing and Payment

Our website may advertise the following prices:

  • Standard reference price: US$2,500.

  • Early-access price: US$2,000 for qualifying standard implementations.

The early-access offer is available at our discretion and has no guaranteed end date. Eligibility depends on the requirements and complexity of the proposed implementation.

Website prices are indicative until we confirm your scope and price in writing.

Before work begins, we will confirm the agreed scope, deliverables, price, payment arrangements, and any material assumptions or exclusions.

Unless otherwise agreed in writing, 100% of the agreed fee is payable before implementation begins.

Work will commence after payment has been received and any necessary access, information, and other prerequisites have been provided.

Prices will specify the applicable currency. Any applicable taxes, bank charges, or currency conversion costs will be identified or handled in accordance with the agreed quotation and applicable law.

4. Scope Changes and Additional Work

The agreed scope defines the work included in the implementation fee.

We may accommodate minor clarifications or reasonable adjustments that do not materially increase the work required.

Requests that materially change the agreed scope may include:

  • Additional subsidiaries, entities, or reporting environments.

  • Additional reporting dates or substantially different reporting requirements.

  • Additional inventory types or complex inventory scenarios not included in the original scope.

  • Additional reporting dimensions or custom data requirements.

  • Corrections to underlying NetSuite data.

  • Additional reconciliation, investigation, or support beyond the agreed deliverables.

Where additional work is required, we will explain the proposed change and any associated fee or delivery impact.

We will obtain your written approval before undertaking chargeable work outside the agreed scope.

5. Customer Responsibilities

You are responsible for:

  • Providing accurate and sufficiently complete information about your NetSuite environment and reporting requirements.

  • Ensuring that data and exports supplied to us are accurate and lawfully provided.

  • Providing timely responses, decisions, and required information.

  • Ensuring that you have the authority to grant any access to NetSuite and other systems.

  • Maintaining appropriate backups and controls over your business systems.

  • Reviewing the delivered report and determining whether it meets your business and reporting requirements.

  • Maintaining responsibility for your accounting policies, inventory valuation, financial statements, and regulatory obligations.

Delays caused by incomplete information, unavailable data, access restrictions, or delayed customer responses may affect delivery dates.

We will notify you of material issues that affect the agreed scope or expected delivery.

6. NetSuite Access and Security

Where you choose the guided implementation approach, you may authorise us to access your NetSuite environment to perform the agreed services.

The access process may require you to add alpha@suitestockiq.com as an employee or authorised user in your NetSuite environment.

You are responsible for authorising the access and assigning appropriate permissions. We will use the access provided only for the agreed services.

The required permissions will depend on your NetSuite configuration and the tasks involved. Although an Accountant-style role may be used as a starting reference, access should be restricted to the records and functions reasonably necessary for the implementation.

You should not provide shared administrator credentials or ask us to use another person’s account.

We will take reasonable steps to protect access information and customer data within our control. You remain responsible for your own access policies, account administration, and security controls.

When our access is no longer required, we will request or facilitate its removal, or otherwise cooperate with you to ensure that the access is revoked promptly.

Where you choose the customer-managed approach, your team will configure the required Saved Searches and provide the agreed exports through an appropriate transfer method.

7. Data Quality and Historical Limitations

The accuracy and completeness of an inventory aging report depend on the available NetSuite data, transaction history, costing behaviour, configuration, and other relevant factors.

Historical negative inventory, inventory transfers, adjustments, incomplete transaction histories, changes to item or location records, and other system-specific circumstances may affect the calculations.

We will investigate identified issues within the agreed scope and explain material limitations or discrepancies that we identify.

Unless separately agreed in writing, our services do not include correcting your underlying NetSuite records, reconstructing missing source data, changing your accounting policies, or performing a comprehensive review of your inventory accounting.

Where missing, inconsistent, or incomplete data prevents reliable completion of the agreed work, we will discuss the available options with you. Additional investigation or corrective work may require a separate written agreement and fee.

8. Report Validation and Audit Support

We will validate the report against agreed NetSuite inventory balances or other reference data and investigate reasonable discrepancies within the agreed scope.

The specific validation procedures, reference balances, and expected outputs will depend on the engagement.

SuiteStockIQ provides inventory aging calculations and reporting assistance to support inventory analysis, financial reporting, and audit preparation.

Our services do not constitute an independent audit, audit opinion, assurance engagement, or accounting or legal advice. We do not guarantee that a report will be accepted by an auditor, satisfy every audit requirement, or reconcile to every accounting balance in every circumstance.

You remain responsible for reviewing the report, determining whether it is appropriate for your purposes, deciding whether accounting adjustments are required, and communicating with your auditors and other professional advisers.

You should not rely on the report as a substitute for your own accounting controls, professional judgement, or required independent advice.

9. Delivery and Follow-Up Support

We will deliver the outputs specified in the agreed scope.

These may include the completed inventory aging report, Excel-based model, configuration documentation, and training materials.

We will provide the agreed training and follow-up support described in the proposal or statement of work.

Unless expressly included in writing, the implementation fee does not include unlimited support, ongoing report generation, ongoing maintenance, additional reporting periods, new functionality, or future changes to your NetSuite environment.

We will make reasonable efforts to meet agreed delivery dates. Any delivery dates that depend on customer-provided information, access, or approvals may be adjusted where those prerequisites are delayed.

10. Cancellation and Refunds

You may request cancellation by providing written notice.

If cancellation occurs before work begins, we will assess any refund due in accordance with the agreed terms and applicable law.

If cancellation occurs after work has begun, we may retain the portion of the fee reasonably attributable to work completed and costs properly incurred for the engagement. Any applicable refund for work not performed will be calculated accordingly.

If we cannot complete the agreed work because of circumstances within our control, we will discuss an appropriate remedy with you, which may include completing outstanding work, agreeing a revised scope, or refunding the applicable amount for work not delivered.

Where completion is prevented by missing data, unavailable access, or other customer-related circumstances, we will discuss the available options and any effect on the fee before undertaking additional work.

Nothing in this section excludes any refund, remedy, or other right that cannot lawfully be excluded.

11. Intellectual Property

We retain ownership of our pre-existing and independently developed intellectual property, including:

  • Inventory aging methodologies and calculation logic.

  • Reusable Excel templates and model structures.

  • General-purpose tools, processes, and know-how.

  • Pre-existing documentation, techniques, and materials.

  • Improvements to our underlying methodology that do not incorporate your confidential information.

Subject to payment of the agreed fees, we grant you a non-exclusive, perpetual licence to use the reports, configured model, and other deliverables supplied under the engagement for your own internal business purposes.

You may retain and reuse those deliverables for your internal reporting, subject to the terms of this licence.

You may share reports and relevant supporting materials with your auditors, accountants, and professional advisers for your internal financial reporting and audit purposes, provided that the sharing is appropriate and subject to applicable confidentiality obligations.

You must not sell, sublicense, publish, redistribute, or commercially exploit our underlying methodology or the Excel model as a standalone product or service.

You must not represent our proprietary methodology as your own product for resale.

Nothing in these terms transfers ownership of our underlying intellectual property to you.

12. Confidentiality and Customer Data

We will use customer information and data supplied for an engagement to assess requirements, deliver the agreed services, provide support, and meet applicable legal obligations.

We will take reasonable steps to protect confidential information within our control and will not knowingly disclose it to third parties except where reasonably necessary to provide the agreed services, where authorised by you, or where disclosure is required by law.

We will not use your customer data, reports, screenshots, company name, or other identifiable engagement materials for demonstrations, case studies, or marketing purposes. We will not use anonymised customer data for those purposes either.

You should only provide information that is reasonably necessary for the engagement and should avoid including passwords, shared administrator credentials, or unrelated sensitive information.

These confidentiality obligations do not prevent the use of information that is publicly available through no breach of these terms, was lawfully known to us before disclosure, or must be disclosed under applicable law.

13. Data Retention and Deletion

We intend to delete customer-provided working data and engagement files within 30 days after completion of the engagement, except where retention is required by law or is reasonably necessary for legitimate recordkeeping obligations.

This target applies to customer data and working files under our control. It does not necessarily mean that every copy is immediately removed from backup systems, email systems, or third-party services, where deletion may follow separate technical retention cycles.

We may retain invoices, contracts, payment records, and other business records for the periods required by applicable law.

Where you request deletion of customer data before the normal deletion date, we will consider the request subject to our legal obligations, any outstanding contractual requirements, and the technical capabilities of the systems used.

14. Third-Party Systems and Services

The service may depend on Oracle NetSuite, Microsoft Excel, file-transfer services, email systems, and other third-party software or services.

We are not responsible for outages, changes, restrictions, or failures of third-party services outside our reasonable control.

You remain responsible for your NetSuite subscription, user permissions, system configuration, licensing, and compliance with the terms applicable to the third-party services you use.

We will not intentionally introduce unauthorised changes to your NetSuite environment. Any changes outside the agreed scope require your approval.

15. Limitation of Liability

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or in connection with an engagement, whether in contract, tort (including negligence), or otherwise, will not exceed twice the fees paid or payable for the specific engagement giving rise to the claim.

This limit applies to the aggregate of claims arising from the same engagement, rather than separately to each claim.

Nothing in these terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law.

To the extent permitted by law, we are not liable for indirect or consequential losses, loss of anticipated profits, loss of business opportunities, or loss arising from decisions made using the report, except where such losses cannot lawfully be excluded.

We do not exclude liability for matters that applicable law does not permit us to exclude.

This section must be interpreted consistently with any mandatory rights and remedies applicable to the customer and the engagement.

16. No Guarantee of Business or Audit Outcomes

We provide a reporting and implementation service, not a guarantee of a particular financial, operational, regulatory, or audit outcome.

The usefulness of the results depends on the customer’s data, system configuration, reporting requirements, and review of the output.

You are responsible for deciding how the report is used and whether additional accounting, legal, or audit advice is required.

17. Changes to These Terms

We may update these website terms from time to time.

The version applicable to an engagement will be the version agreed for that engagement, together with any later changes expressly agreed in writing.

Changes to website terms will not automatically amend a signed agreement or statement of work unless the parties agree otherwise or the change is permitted under the relevant agreement.

18. Governing Law and Disputes

These terms and any dispute arising from them will be governed by the laws of [insert agreed jurisdiction], subject to any mandatory laws that apply.

The parties will first attempt to resolve disputes through good-faith discussions.

If a dispute cannot be resolved informally, either party may pursue the remedies available under the applicable law and jurisdiction.

The governing law, courts, and dispute-resolution provisions should be confirmed before publication, taking into account that ERP Logic Limited is based in New Zealand and customers may be located in the United States or elsewhere.

19. General Provisions

If any provision of these terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

A failure to enforce a provision does not automatically waive the right to enforce it later.

These terms, together with the applicable written proposal, statement of work, and any signed agreement, describe the basis on which the services are provided.
